General Terms and Conditions (AGB)

These terms govern use of Contacly and its related websites, profiles, QR workflows, audit functions, Premium functions and services, between [[provider]] (“we”, “Provider”) and you (“User”). They apply to both consumers and business users; mandatory consumer-protection rules take precedence where you are a consumer.

Contacly lets users create contact profiles, send and receive requests, approve exchanges, trace events through an audit trail, and download contact data as a vCard depending on the plan. We may develop and change features over time.

You must be at least [[16 / 18]] years old and provide truthful, current information. You are responsible for keeping access links, OTP codes and linked devices confidential, and for all activity under your account. Notify us immediately at [[support@contacly.com]] if you suspect unauthorised use.

You may use Contacly only lawfully and in line with these terms. Impersonation, spam, scraping, security bypasses, and attacks on the service are prohibited.

Where you enter, share, or exchange another person’s contact data, you confirm that you have a lawful basis to do so (for example, their consent or another basis under applicable data-protection law). You are the controller of the contact data you bring into the service, and you agree to indemnify us against third-party claims arising from your unlawful sharing of such data.

You retain your rights in the profile data, company information, notes and decisions you enter. You grant us a limited, non-exclusive licence to host, process and display that content solely to operate and provide the service to you. You remain responsible for the accuracy and lawfulness of what you enter.

Paid features, prices, billing intervals, trials and upgrades are shown on the offer pages or at checkout, including whether a trial converts to a paid plan and how to cancel. We will give reasonable advance notice of price changes; you may cancel before they take effect.

Consumers in the EU/EEA have a 14-day right of withdrawal for distance contracts. Because Contacly is a digital service supplied immediately, you may be asked to expressly request that we begin during the withdrawal period and to acknowledge that you then lose the right of withdrawal once the service is fully performed (EU Consumer Rights Directive Art. 16). Consumers in Switzerland: Swiss law does not currently grant a general cooling-off right for online service contracts; your statutory rights otherwise apply.

We aim for high availability but do not guarantee uninterrupted or error-free operation, and may carry out maintenance. This does not limit any mandatory statutory rights a consumer has regarding service conformity.

Nothing in these terms excludes or limits liability that cannot be excluded by law — including liability for intent and gross negligence, for injury to life, body or health, under mandatory product-liability law, or for fraud.

Subject to the above, we are liable without limitation for damage caused by intent or gross negligence. For slightly negligent breaches, we are liable only where we breach an essential contractual duty (a duty whose fulfilment makes performance of the contract possible and on which you may reasonably rely), and then only for foreseeable, typical damage. All other liability is excluded. In particular, we are not liable for indirect or consequential loss, lost profit, or loss of data, except within the limits above; you are responsible for keeping your own backups of exported contact data.

All rights in Contacly — software, design, structure, trademarks, content and technical workflows — remain with us or our licensors. The licence you receive to use the service is limited, non-exclusive and non-transferable. Your rights in your own content are governed by Section 6.

We may suspend or terminate accounts or functions for misuse, security risk, payment default, or serious breach of these terms, with notice where reasonably possible. You may terminate at any time. On termination, your data is handled as described in the Privacy Policy (Section 7). If we terminate a paid plan without cause, we will refund any prepaid amount for the unused period on a pro-rata basis.

These terms are governed by the law of [[Switzerland / operator’s country]], with the courts of [[seat]] having jurisdiction. If you are a consumer, this does not deprive you of the mandatory protections of the law of your country of residence, and you may bring proceedings in the courts of your domicile (per the EU Brussels Ia / Rome I rules where applicable).

We may amend these terms for valid reasons (legal changes, new features, security). We will notify registered users of material changes in advance; if you do not accept them, you may terminate before they take effect. Continued use after the effective date means you accept the updated terms.

If any provision is or becomes invalid, the remaining provisions stay in effect. These terms, together with the Privacy Policy and the applicable offer/checkout details, form the entire agreement for use of Contacly.
